Micro Supreme Auto Industries (I) Pvt Ltd is committed to continual improvement of environmental performance, prevention of pollution, and compliance with all applicable environmental regulations & legislation. We will promote environmental awareness amongst our employees and encourage them to fulfill and review environmental objectives and targets. We shall strive to:

  • Minimize waste generation and conserve natural resources through better technology and practices.

CODE OF CONDUCT

INTRODUCTION :-

The Micro Supreme is reputed organization for its trustworthiness around the world & is consistently doing business with integrity. Micro Supreme complies with the laws & regulations governing its activities.

To ensure continuity of integrity & compliances we have decided to have formal code of conduct intended to serve as a guide to each employee on the values, ethics and business principles expected of him or her in personal and professional conduct.

SCOPE OF APPLICATION :

It applies to all employees, members of the Board of directors, business partners and other stakeholders..

Micro Supreme encourages its suppliers, dealers, consultant and other business partners to adopt these principles.

NATIONAL INTEREST : -

Micro Supreme is committed to benefit the economic development of the countries in which it operates. Micro Supreme shall not undertake any project or activity to the detriment of the wider interests of the communities in which it operates. In the course of our business activities, we shall respect the culture, customs and traditions of each country and region in which we operate.

The company shall conform to trade procedures, including licensing, documentation and other necessary formalities, as applicable.

FINANCIAL REPORTING AND RECORDS : -

The company shall prepare and maintain its accounts fairly and accurately and in accordance with the accounting and financial reporting standards which represent the generally accepted guidelines, principles, standards, laws and regulations of the country in which it conducts its business affairs. Internal accounting and audit procedures shall reflect, fairly and accurately, of all the company’s business transactions and disposition of assets, and shall have internal controls to provide assurance to the company’s board that the transactions are accurate and legitimate.

All required information shall be accessible to company auditors and other authorized parties and government agencies.

COMPETITION : -

The company or employees shall market the company’s products and services on their own merits and shall not make unfair and misleading statements about competitors’ products and services. Any collection of competitive information shall be made only in the normal course of business and shall be obtained only through legally permitted sources and means.

Micro Supreme & its employees may offer only nominal gifts provided such gifts are customarily given and are of a commemorative nature.

GOVERNMENT AGENCIES: -

It is the company's policy to comply fully with all applicable laws and regulations governing contact and dealings with government employees and public officials and to adhere to high ethical, moral and legal standards of business conduct. This policy includes strict compliance with all local, state, federal, foreign and other applicable laws, rules and regulations.Micro Supreme shall comply with government procurement regulations and shall be transparent in all its dealings with government agencies.

POLITICAL NON-ALIGNMENT : -

Micro Supreme shall not support any specific political party or candidate for political office.

HEALTH, SAFETY AND ENVIRONMENT : -

Micro Supreme shall strive to provide a safe, healthy, clean and ergonomic working environment for its people.The Safety of people in the workplace is a primary concern of the company.

It is company's responsibility to comply with all applicable health, safety policies and maintain compliance with all local laws to secure healthy work surroundings.

QUALITY OF PRODUCTS AND SERVICES : -

Micro Supreme is committed to provide products and services which consistently meet or exceed the standards set by the customer, on time and at the reasonable cost, thus enhancing customer’s satisfaction.

It shall display adequate and necessary information on its product packaging.

CORPORATE CITIZENSHIP : -

Micro Supreme shall be committed to good corporate citizenship, not only in the compliance of all relevant laws and regulations but also by actively assisting in the improvement of quality of life of the people in the communities in which it operates.

PUBLIC REPRESENTATION OF THE COMPANY : -

Micro Supreme honors the information requirements of the public and its stakeholders. In all its public appearances, with respect to disclosing company and business information to public constituencies such as the media, the financial community, employees, shareholders, dealers and importers.

It shall be the sole responsibility of their authorized representatives to disclose information about the company or the Group.

THIRD PARTY REPRESENTATION : -

Directors may not engage in any conduct or activities that are inconsistent with the Company's best interests or that disrupt or impair the Company's relationship with any person or entity with which the company has or proposes to enter into a business.

You should never accept information offered by a third party that is represented as confidential, or which appears from the context or circumstances to be confidential, unless an appropriate nondisclosure agreement has been signed with the party offering the information.

SHAREHOLDERS : -

In future Micro Supreme Auto Industries (I) Pvt. Ltd. wishes to go for Public Ltd. Co. & hence shall be committed to enhancing shareholder value and complying with all regulations and laws that govern shareholder rights.

ETHICAL CONDUCT : -

Directors should promote ethical behavior and take steps to ensure that the Company: (a) Encourages employees to talk to supervisors, managers and other appropriate personnel when in doubt about the best course of action in a particular situation; (b) Encourages employees to report violations of laws, rules, regulations, the Company's Standards of Corporate Conduct, or the Code of Ethics for Senior Finance Personnel to appropriate personnel; and c) Informs employees that the Company will not allow retaliation for reports made in good faith.

REGULATORY COMPLIANCE : -

Employees of Micro Supreme, in their business conduct, shall comply with all applicable laws and regulations, in letter and spirit, in all the territories in which they operate.

CONFLICT OF INTEREST : -

Directors must avoid any conflicts of interest between the director and the Company. Any situation that involves, or may reasonably be expected to involve, a conflict of interest with the Company should be disclosed promptly to the Directors of the company.

A "conflict of interest" can occur when a director's personal interest is adverse to – or may appear to be adverse to – the interests of the Company as a whole.Independent directors of Micro Supreme shall comply with applicable laws and regulations of all the relevant regulatory and other authorities.

As good governance practice, they shall safeguard the confidentiality of all information received by them by virtue of their position, but they need not be bound by all other conflicts that are applicable to employees or executive directors.

PROTECTING COMPANY ASSETS : -

All company assets or resources shall not be misused; they shall be used only for the purpose of conducting the business they are authorized for.

All employees are responsible for effective control and appropriate use of all Company’s resources entrusted to them in the official discharge of their duty.

CITIZENSHIP : -

The involvement of a Micro Supreme employee in civic or public affairs shall be with express approval from the chief executive of his / her company, subject to this involvement having no

adverse impact on the business affairs of the company.

INTEGRITY OF DATA FURNISHED : -

Every employee of Micro Supreme shall ensure, at all times, the integrity of data or information furnished by him/her to the company.

He/she shall be entirely responsible in ensuring that the confidentiality of all data is retained and in no circumstance transferred to any outside person/party in the course of normal operations without express guidelines from or, the approval of the management.

REPORTING CONCERNS : -

Every employee of Micro Supreme shall promptly report to the management / It's Assistance Cell when he/she becomes aware of any violation of the Code or an event of misconduct, or act not in the company’s interest.

Such reporting shall be made available to suppliers and partners, too.

CORPORATE SOCIAL RESPONSIBILITY : -

The Micro Supreme Company shall encourage the employee to be part of the community where he/she lives and participates in community activities like Social gatherings, Educational Institutions, etc. The spirits behind such participation should be service and not other considerations.

At the same time, the Management expects the employee to be selective in accepting such tasks, keeping in mind his own need for rest and relaxation, and that his involvement in such activities does not impair his health or affect his main responsibilities in the Company.

Another sphere of such activity is participation in developmental programs, courses and seminars conducted by different organizations. Many a time, an employee may also be requested to assist the organizers of such courses by being one of the Faculties. The Company supports participation in such activities.
